These Website Terms of Use and Sale (these “Terms”) are entered into by and between Synovere LLC, a company organized under the laws of the State of Wyoming, USA (“Company,” “we,” “us,” or “our”), and you, the customer accessing this website at maxbyx.com and/or purchasing our products (“you” or “Customer”).

Please read these Terms carefully before placing an order. By accessing this Website, placing an order, or accepting delivery of the merchandise, you acknowledge that you have read, understood, and agree to be bound by all terms of these Terms, our Privacy Policy, and our Return and Refund Policy. If you do not agree to any part of these Terms, please do not use our website or services.

1. Definitions

  • Ordermeans a request submitted by you through the Website’s shopping cart system to purchase specific Products.

2. Product Information and Pricing

We strive to ensure the accuracy of product descriptions, images, specifications, and pricing on the Website; however, errors may occur.

If we discover a material error in product information or pricing, we reserve the right to cancel any Order prior to shipment and will notify you accordingly.

All prices are listed in U.S. Dollars (USD). For international orders, these prices do not include international shipping costs, insurance, import duties, value-added taxes (VAT), goods and services taxes (GST), or any other taxes or fees imposed by the destination country. You are solely responsible for paying all such duties, taxes, and related charges.

We reserve the right to change product prices without prior notice; however, confirmed Orders will be honored at the price in effect at the time of Order confirmation.

3. Orders and Contract Formation

By placing an Order through the Website, you are making an offer to purchase the Products.

Upon receiving your Order, we will send you an Order confirmation email. This email serves as acknowledgment that we have received your Order and does not constitute acceptance of your Order.

A binding contract of sale between you and us is only formed when the Products are delivered to our carrier and we send you an email containing the shipment notification (“Shipment Confirmation”).

We reserve the right, in our sole discretion, to refuse or cancel any Order prior to shipment for reasons including, but not limited to, inventory unavailability, pricing errors, suspected fraudulent activity, payment issues, or any other legitimate reason.

4. Payment

You agree to pay the prices in effect at the time of purchase for all Products ordered, plus any applicable shipping charges.

You must ensure that the payment information you provide is accurate, complete, and valid. All payments are processed through third-party secure payment gateways designated by us. We are not responsible for any additional fees charged by such payment gateways.

5. Shipping, Delivery, and Risk of Loss

We will provide available shipping options along with estimated delivery times and costs. International shipping times are estimates only and may be delayed due to customs clearance, holidays, weather, or other factors; we are not liable for such delays.

For all Orders, particularly international Orders, a key provision is that delivery is deemed completed when the Products are handed over to the carrier (i.e., when the tracking information shows “Picked Up” or equivalent). Title to the Products and the full risk of loss or damage to the Products pass to you (the Customer) at that moment.

You are responsible for providing an accurate and complete shipping address. Delivery failures, additional charges, or returns resulting from incorrect or unclear addresses shall be your responsibility.

6. Returns, Refunds, and Limited Warranty

Detailed procedures for returns, exchanges, and refunds are set forth in our separate Return and Refund Policy, which is incorporated into these Terms by reference.

Special Provision for International Returns:

If you are returning a Product from outside the United States, you must ship the Product back to the designated U.S. address provided by us. You are solely responsible for bearing all shipping costs, insurance, duties, and handling fees associated with returning the Product to that address, and such costs are non-refundable. We will only process eligible refunds after the Product has arrived at our warehouse and passed inspection.

Critical Data Liability Disclaimer:

You understand and agree that solid-state drives (SSDs) are media used for data storage. You bear the sole and absolute responsibility to back up and securely erase all data contained on the drive prior to use, and prior to returning or sending in the drive for service. The Company assumes no direct, indirect, or consequential liability whatsoever for any data loss, leakage, or corruption of any kind arising from the use, improper handling, product failure, return, or repair process.

Limited Warranty:

We provide a [3-year] limited warranty for our Products from the date of original purchase, covering defects in materials and workmanship. Warranty service is valid globally, subject to the following process:

  • You must obtain a Return Merchandise Authorization (RMA) number by contacting our support channels.
  • You are responsible for shipping the defective Product to our designated U.S. service center at your own cost.
  • The warranty does not cover physical damage, damage resulting from improper use (e.g., incorrect voltage), unauthorized modifications or disassembly, or data loss.
  • For defects confirmed to be covered under warranty, we will bear the cost of return shipping of the repaired or replacement Product to you (to the original country of shipment, via standard shipping method).

7. Website Use and Intellectual Property

You agree not to use the Website for any purpose that is unlawful or prohibited by these Terms.

All content on this Website, including but not limited to text, graphics, logos, images, and software, is the property of the Company or its licensors and is protected by copyright and other intellectual property laws. Unauthorized reproduction or use is strictly prohibited without our express written permission.

8. Disclaimer of Warranties and Limitation of Liability

“As Is” Basis:

THE PRODUCTS AND THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DO NOT WARRANT THAT THE PRODUCTS WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE.

Compatibility:

You are responsible for confirming that the purchased Products are compatible with your hardware system. We are not responsible for any issues arising from incompatibility.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE PRODUCTS/WEBSITE SHALL NOT EXCEED THE PURCHASE PRICE YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. General Provisions

Governing Law:

These Terms and any dispute between you and the Company shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.

Dispute Resolution:

Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the state or federal courts located in the State of Wyoming, USA.

Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Modification of Terms:

We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting the revised version on the Website with a new effective date. Your continued use of the Website or services following such changes constitutes your acceptance of the revised Terms.
